The Diversity Action Committee (DAC) partnered Professor Randel Carlock from INSEAD to hold a workshop that immersed participants in reviewing and discussing the roles and responsibilities of the board, the board chairman as well as the CEO in making decisions in the decision-making process. This was organized in response to massive positive feedback on the practice-oriented workshops held at DAC’s Conference for Women as Board Directors in September 2015.

The workshop included small group discussions on the case study, ‘The HP-Compaq Merger: A Battle for the Heart and Soul of a Company 08/2010/5064 (Part A)’, where each group represented the role of a board member, chairman or CEO, and analysed questions posed by Professor Carlock.

Each group had engaging and in-depth discussions on the role they were assigned (board member, chairman or CEO), exploring the exact role and responsibilities they would have had to undertake, what was done well and what could have been done better.

The session ended with each group sharing their assessment and Professor Carlock concluding by discussing the roles and responsibilities of a board and governance issues challenging a board of directors, chairman and CEO when there is a critical decision on the business’ future strategy.

Professor Randel S. Carlock

Dr. Randel S. Carlock is the first Berghmans Lhoist Chaired Professor in Entrepreneurial Leadership and founding Director of the Wendel International Centre for Family Enterprise at INSEAD. Carlock has over 25 years of management, governance and leadership experience serving as a CEO and Chairman of four companies he founded including a NASDAQ listed firm. He also trained and qualified in family therapy at the University of London’s Institute of Psychiatry.

Carlock is internationally recognized as the author or co-author of several articles, chapters, case studies and five books including When Family Businesses are Best with John L. Ward (English, Spanish, Chinese and Japanese, 2015) and Family Business on the Couch: A Psychological Perspective with Manfred Kets de Vries (2007).

He teaches EMBA, MBA, Masters courses and executive education programs as well as advising global business families and corporations on strategy, leadership, psychology, family business and governance.
